Highlights des dritten Quartals

  • GAAP-Gewinn pro Aktie aus fortgeführten Geschäftsbereichen betrug 0,21 Dollar. Der bereinigte Gewinn1 pro Aktie stieg um 35 % auf 0,74 Dollar, verglichen mit dem bereinigten Pro-forma-Gewinn1 pro Aktie von 0,55 Dollar aus dem Vorjahreszeitraum. Der bereinigte Gewinne pro Aktie schließt signifikante Faktoren in den Gesamtnettoaufwendungen des Quartals von 0,42 Dollar pro Aktie sowie 0,11 Dollar pro Aktie für Abschreibungen von immateriellen Vermögenswerten aus.
  • Die Nettoumsätze stiegen, verbunden mit Gewinnen in allen Bereichen und allen Regionen, um 10 % auf 20,1 Milliarden Dollar, verglichen mit Pro-forma-Nettoumsätzen des Vorjahreszeitraumes von 18,3 Milliarden Dollar. Die Nettoumsätze stiegen im Asien-Pazifik-Raum im zweistelligen Bereich und in allen anderen Regionen im hohen einstelligen Bereich.
  • Das Verkaufsvolumen stieg auf Pro-forma-Basis gegenüber dem Vorjahr um 5 Prozent einhergehend mit Gewinnen in allen Bereichen und Regionen und angeführt von einem zweistelligen Wachstum im Asien-Pazifik-Raum und in Lateinamerika.
  • Der lokale Preis stieg auf einer Pro-forma-Basis um 5 Prozent, mit Zuwächsen in allen Divisionen und in allen Regionen.
  • Das operative EBITDA1 stieg gegenüber dem Vorjahr auf Pro-forma-Basis um 19 % auf 3,8 Milliarden Dollar. Treiber beim operativen EBITDA in diesem Quartal waren Erträge durch lokale Preis- und Absatzzuwächse, Kostensynergien und niedrigere Kosten für Pensionen und ähnliche Verpflichtungen2. Die Auswirkungen der höheren Rohmaterialkosten und der währunsseitige Gegenwind konnten auf diese Weise mehr als ausglichen werden.
  • DowDuPont erzielte in diesem Quartal Einsparungen aus Kostensynergien in Höhe von mehr als 450 Millionen Dollar und erreichte seit dem Abschluss der Fusion kumulierte Einsparungen von nahezu 1,3 Milliarden Dollar.  Das Unternehmen erzielte zudem auf Jahresbasis hochgerechnete Kostensynergien von mehr als 2,5 Milliarden Dollar und übertrifft hiermit das Einsparungsziel für Kostensynergien für das erste Jahr von 75 Prozent von 3,3 Milliarden Dollar.
  • DowDuPont gibt heute ein neues Aktienrückkaufprogramm in Höhe von 3 Milliarden Dollar bekannt, welches voraussichtlich nach dem ersten Spin-off abgeschlossen sein wird. Zudem erhöht das Unternehmen sein Einsparungsziel für Kostensynergien von 3,3 Milliarden Dollar auf 3,6 Milliarden Dollar und hebt das Einsparungsziel für 2018 im Vergleich zum Vorjahr von 1,4 Milliarden Dollar auf 1,5 Milliarden Dollar an.
  • Der Cashflow aus der operativen Geschäftstätigkeit zeigt eine Kapitalinanspruchnahme in Höhe von 0,3 Milliarden USD und enthielt freiwillige Rentenbeiträge in Höhe von ca. 2,2 Milliarden USD. Ohne diese freiwilligen Beiträge hätte der Cashflow aus der operativen Geschäftstätigkeit 1,9 Milliarden Dollar betragen.

Merger of Equals

Effective August 31, 2017, pursuant to the merger of equals transaction contemplated by the Agreement and Plan of Merger, dated as of December 11, 2015, as amended on March 31, 2017 (the "Merger Agreement"), The Dow Chemical Company ("Dow") and E. I. du Pont de Nemours & Company ("DuPont") each merged with subsidiaries of DowDuPont Inc. ("DowDuPont" or the "Company") and, as a result, Dow and DuPont became subsidiaries of DowDuPont Inc. (the "Merger"). Dow was determined to be the accounting acquirer in the Merger and, as a result, the historical financial statements of Dow, prepared under U.S. generally accepted accounting principles ("U.S. GAAP"), for the periods prior to the Merger are considered to be the historical financial statements of DowDuPont.

Unaudited Pro Forma Financial Information

In order to provide the most meaningful comparison of results of operations and results by segment, supplemental unaudited pro forma financial information has been included in the following financial schedules. The unaudited pro forma financial information is based on the historical consolidated financial statements and accompanying notes of both Dow and DuPont and has been prepared to illustrate the effects of the Merger, assuming the Merger had been consummated on January 1, 2016. This earnings release includes information that does not conform to U.S. GAAP and are considered non-GAAP measures. These measures include the Company's pro forma consolidated results and pro forma earnings per share on an adjusted basis. Although amortization of DuPont's intangible assets is excluded from these non-GAAP measures, management believes it is important for investors to understand that such intangible assets contribute to revenue generation. Amortization of intangible assets that relate to past acquisitions will recur in future periods until such intangible assets have been fully amortized. Any future acquisitions may result in amortization of additional intangible assets.

Operating EBITDA is defined as earnings (i.e., "Income from continuing operations before income taxes") before interest, depreciation, amortization and foreign exchange gains (losses), excluding the impact of significant items. Pro forma operating EBITDA is defined as pro forma earnings (i.e., "Pro Forma income from continuing operations before income taxes") before interest, depreciation, amortization and foreign exchange gains (losses), excluding the impact of significant items.
